The Governance, Human Resources and Compensation Committee assists the Board in fulfilling its oversight responsibilities with respect to:

• human resources policies and executive compensation matters;
• the compensation of directors and overall compensation policies of the Corporation;
• assisting the Board in corporate governance matters; and
• recommending new candidates for election to the Board. The Audit Committee shall also have particular regard to the duties, responsibilities and obligations of the Corporation to the Trust.
